Terms of Service, Subscription & Refund Policy

Welcome to Idiocom.

These Terms of Service, Subscription and Refund Policy (“Terms”) govern your access to and use of the Idiocom platform, website, applications, software, features and related services (collectively, the “Service”).

By accessing, registering for, starting a trial of, subscribing to, or otherwise using Idiocom, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, you should not access or use the Service.

1. About Idiocom

Idiocom is a software-as-a-service (“SaaS”) platform designed to help businesses create, manage, operate and grow their online presence and eCommerce operations.

Depending on the applicable plan, the Service may include features such as online store creation, catalogue management, website and store customisation, analytics, SEO-related functionality, AI-assisted tools, marketing-related features, integrations, merchant tools and other features introduced or modified by Idiocom from time to time.

The features available to you depend on the plan, subscription, configuration and services applicable to your account.

2. Acceptance of These Terms

By using the Service, you confirm that:

  • You have the legal capacity to enter into these Terms;
  • The information provided by you is accurate and not misleading;
  • You will use the Service only for lawful purposes;
  • You will comply with these Terms and applicable laws; and
  • You are responsible for ensuring that anyone using your account complies with these Terms.

If you are using Idiocom on behalf of a business or organisation, you represent that you have the authority to bind that business or organisation to these Terms.

3. Account Registration

Certain features require you to create an Idiocom account.

You are responsible for:

  • Providing accurate and complete registration information;
  • Keeping your account information current;
  • Maintaining the confidentiality of your login credentials;
  • Protecting access to your account;
  • All activities performed through your account, subject to applicable law; and
  • Immediately notifying Idiocom if you believe your account has been accessed without authorisation.

You must not share, sell, transfer, rent or otherwise provide your account credentials to unauthorised persons where doing so is prohibited by your plan or these Terms.

Idiocom may take reasonable steps to protect accounts and the Service where we reasonably believe an account has been compromised or misused.

4. Free Trial

Idiocom may offer a free trial or limited-access period to eligible users from time to time.

The availability, duration, features and eligibility requirements of a free trial may vary and will be communicated at the time the trial is offered.

The purpose of the free trial is to allow users to evaluate the Service and determine whether it meets their business requirements before purchasing a paid subscription.

Unless otherwise expressly stated, a free trial does not create an entitlement to a paid subscription or any particular feature after the trial period ends.

Idiocom reserves the right to modify, suspend or discontinue free trials, eligibility requirements or trial features at any time, subject to applicable law.

5. Subscription Plans

Idiocom may offer different subscription plans with different features, usage limits, services and pricing.

The applicable plan, pricing, billing frequency and included features will be presented to you before you activate or upgrade a paid subscription.

Your use of the Service is subject to the features and limitations of the plan you have selected.

Idiocom may introduce new plans, modify existing plans or discontinue particular plans from time to time, subject to applicable law and any applicable notice requirements.

6. Subscription Activation

A paid subscription becomes active after the applicable payment has been successfully completed and the subscription has been activated in your Idiocom account.

Once a paid subscription is activated, the applicable subscription period begins according to the billing terms displayed at the time of purchase.

Digital access to the Service is generally provided electronically through your Idiocom account. No physical shipment is required for the SaaS Service.

7. Subscription Fees and Payments

You agree to pay the subscription fees applicable to the plan selected by you.

Prices may be displayed in the currency and format applicable to your location, plan or purchase process.

Unless otherwise stated, applicable taxes, duties, levies or other governmental charges may be added where required by law.

Payments may be processed through third-party payment providers. Your use of a third-party payment service may also be subject to that provider’s terms and policies.

8. Pricing Changes

Idiocom may change its pricing, plans or applicable fees from time to time.

Where a pricing change affects an existing paid subscription, Idiocom will provide reasonable notice where required by applicable law or the applicable subscription arrangement.

Unless otherwise required by law or expressly agreed otherwise, a pricing change will generally apply from a future billing period and will not retroactively alter fees already paid.

9. Subscription Renewal

Where a subscription is configured for automatic renewal, the subscription may renew for the applicable renewal period unless cancelled in accordance with the cancellation procedure provided by Idiocom.

Where automatic renewal applies, the applicable renewal terms and charges will be presented or communicated in accordance with applicable law.

You are responsible for reviewing your subscription status and cancellation requirements before the next applicable renewal date.

10. Cancellation

You may request cancellation of your subscription using the cancellation options made available through Idiocom or by contacting our support team where applicable.

Unless otherwise required by applicable law or expressly stated in your plan, cancellation generally prevents future renewal and does not automatically result in a refund of fees already paid for the current subscription period.

Unless otherwise stated, cancellation does not terminate your obligations relating to amounts already due or payable before the effective cancellation date.

11. Refund Policy

Idiocom operates primarily on a non-refundable subscription model.

Because Idiocom is a digital SaaS service, users are provided with the opportunity to review and evaluate the Service through available information, demonstrations and, where offered, a free trial before activating a paid subscription.

Accordingly, once a paid subscription has been activated, subscription fees are generally non-refundable.

Payment for a subscription constitutes payment for access to the applicable Service and features during the relevant subscription period. The following circumstances generally do not create an entitlement to a refund:

  • Change of mind after purchasing a subscription;
  • Failure to use the Service after subscribing;
  • Reduced or discontinued use of the Service;
  • Failure to use available features;
  • Dissatisfaction with personal business results or expectations;
  • Failure to configure or use the Service correctly;
  • Issues caused by the user’s device, browser, internet connection, network or local environment;
  • Issues caused by third-party software, services, integrations or providers;
  • Changes to business requirements after subscription;
  • Failure to cancel a subscription before a renewal date;
  • Temporary interruptions, maintenance or technical events that do not constitute a material failure of the Service; or
  • Any other circumstance where the Service remains materially available and functional in accordance with the applicable plan.

Nothing in this section is intended to exclude or restrict any refund, cancellation, withdrawal, statutory guarantee or other consumer right that cannot legally be excluded or restricted under applicable law.

12. Technical Issues and Service Problems

Idiocom is committed to maintaining a reliable and functional SaaS platform.

If you experience a significant technical problem that materially prevents you from using a subscribed Service, you should contact Idiocom Support and provide sufficient information for our technical team to investigate the issue.

Our technical team may review relevant system information, logs, account configuration, service status and other technical information reasonably necessary to determine the cause and impact of the reported issue.

A technical issue will not automatically qualify for a refund merely because it has been reported. The issue must be reviewed and reasonably verified by Idiocom’s technical team.

13. Remedy for Verified Idiocom Service Issues

Where Idiocom’s technical team reasonably determines that a material service interruption or technical issue was directly attributable to the Idiocom platform and materially affected your use of the subscribed Service, Idiocom will make reasonable efforts to restore the affected functionality.

Depending on the circumstances, Idiocom may, at its reasonable discretion, provide an appropriate service remedy, which may include:

  • Restoration or correction of the affected functionality;
  • Technical assistance or troubleshooting;
  • A reasonable extension of the applicable subscription period; or
  • A service credit or other reasonable service adjustment where appropriate.

Where a service extension or service credit is provided, it will generally be determined with reference to the verified material impact and duration of the affected Service.

A verified technical issue attributable to Idiocom does not automatically create an entitlement to a monetary refund. Unless a refund is required by applicable law or expressly approved by Idiocom, the preferred remedy will generally be restoration of the Service and, where appropriate, an extension or service credit.

14. Third-Party Services and Integrations

Idiocom may integrate with or depend upon third-party services, applications, payment providers, hosting providers, APIs, communication providers, analytics services, advertising platforms and other external technologies.

Idiocom does not control the availability, performance, security, policies or functionality of third-party services.

An interruption, modification, suspension, limitation or failure of a third-party service does not automatically constitute a failure of Idiocom and does not automatically create an entitlement to a refund or subscription extension.

Where appropriate, Idiocom may assist with troubleshooting third-party integration issues, but the resolution of such issues may depend on the relevant third-party provider.

15. Acceptable Use

You may use Idiocom only for lawful business and commercial purposes and in accordance with these Terms.

You must not use the Service:

  • For any unlawful, fraudulent or deceptive activity;
  • To violate any applicable law or regulation;
  • To infringe, misappropriate or violate intellectual property, privacy or other rights of any person;
  • To distribute malware, viruses, worms or other harmful code;
  • To attempt to gain unauthorised access to the Service or another user’s account;
  • To interfere with or disrupt the Service, servers or networks;
  • To conduct activities that create an unreasonable security, operational or legal risk for Idiocom or other users;
  • To impersonate another person or business;
  • To engage in fraudulent transactions or misleading commercial practices;
  • To use the Service for prohibited or unlawful products or activities;
  • To circumvent usage limits, security controls or access restrictions;
  • To reverse engineer, decompile or attempt to obtain source code from the Service except where expressly permitted by applicable law;
  • To copy, reproduce, resell, sublicense or commercially exploit the Service except as expressly authorised by Idiocom; or
  • In any manner that could damage, disable, overburden or impair the Service.

16. Merchant Responsibilities

If you use Idiocom to create or operate an online store, you are responsible for your business, store and transactions with your customers.

You are solely responsible for:

  • The products and services you offer;
  • Product descriptions, images and claims;
  • Pricing and promotions;
  • Inventory information;
  • Taxes and applicable charges;
  • Shipping and delivery arrangements;
  • Returns, refunds and cancellations offered to your customers;
  • Customer communications;
  • Compliance with consumer protection requirements;
  • Compliance with applicable product, advertising and commercial laws;
  • Obtaining required licences, registrations, permissions and approvals;
  • Ensuring that your content does not infringe third-party rights; and
  • Any transactions entered into between you and your customers.

Idiocom provides technology and related services and does not become the seller, manufacturer, distributor or supplier of products offered by merchants through their stores unless expressly agreed otherwise in writing.

17. User Content

You may upload, create, submit or store content through Idiocom, including text, images, product information, logos, graphics, videos, documents, data and other materials (“User Content”).

You retain your ownership rights in your User Content, subject to the rights necessary for Idiocom to provide the Service.

By submitting User Content, you grant Idiocom a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, display and otherwise use that User Content only as reasonably necessary to provide, maintain, secure, improve and support the Service and to fulfil our contractual obligations.

You represent that you have the necessary rights and permissions to provide the User Content to Idiocom and that the User Content does not violate applicable law or third-party rights.

18. Intellectual Property

The Idiocom platform, including its software, technology, interface, design, trademarks, logos, graphics, features, documentation, templates and other original materials, is owned by or licensed to Idiocom and is protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, you may not:

  • Copy or reproduce the Service;
  • Modify or create derivative works of the Service;
  • Reverse engineer or attempt to extract source code;
  • Sell, rent, lease or sublicense the Service;
  • Remove proprietary notices;
  • Use Idiocom trademarks without permission; or
  • Use the Service to create a substantially similar competing service through unauthorised copying or extraction.

Nothing in these Terms transfers ownership of Idiocom’s intellectual property to you.

19. AI-Enabled Features

Idiocom may provide AI-assisted functionality for activities such as content creation, catalogue generation, product descriptions, marketing content, SEO assistance, recommendations, analytics and other business-related tasks.

AI-generated output may not always be accurate, complete, unique or suitable for a particular purpose.

You are responsible for reviewing and approving AI-generated content before publishing or using it for your business.

You must not use AI features to generate, process or distribute content for unlawful, fraudulent, harmful or prohibited purposes.

Idiocom does not guarantee that AI-generated output will be error-free or suitable for every business purpose.

20. Service Availability and Maintenance

Idiocom will make reasonable efforts to maintain the availability and functionality of the Service.

However, uninterrupted or error-free availability cannot be guaranteed.

The Service may occasionally be unavailable or limited due to:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Security incidents;
  • Technical failures;
  • Internet or network failures;
  • Third-party service interruptions;
  • Events outside our reasonable control; or
  • Other circumstances affecting the operation of the Service.

Where reasonably practicable, Idiocom will seek to minimise the impact of planned maintenance and restore affected services as soon as reasonably practicable.

21. Modifications to the Service

Idiocom may modify, improve, replace, suspend or discontinue features or portions of the Service from time to time.

Changes may be made to improve security, performance, functionality, compliance or the overall user experience.

Where a material change substantially affects a paid service, Idiocom will provide appropriate notice where required by applicable law or the applicable agreement.

22. Account Suspension

Idiocom may temporarily suspend or restrict access to an account where reasonably necessary to:

  • Protect the security of the Service;
  • Investigate suspected fraud or abuse;
  • Prevent unlawful activity;
  • Address a violation of these Terms;
  • Respond to a security threat;
  • Address non-payment or overdue amounts; or
  • Protect Idiocom, its users or third parties from material risk or harm.

Where reasonably practicable and legally permitted, Idiocom may provide notice and an opportunity to address the issue before suspension.

23. Termination

You may terminate your use of the Service in accordance with the applicable cancellation procedure.

Idiocom may suspend or terminate an account where reasonably necessary due to a material violation of these Terms, unlawful activity, fraud, security concerns, non-payment, misuse of the Service or other circumstances permitted by applicable law.

Termination or cancellation does not automatically create an entitlement to a refund of fees already paid, except where required by applicable law or expressly approved by Idiocom.

24. Effect of Termination

Upon termination or expiry of your subscription, access to paid features may cease or be restricted.

You are responsible for downloading or exporting any information you wish to retain before the end of your applicable access period, where such export functionality is available.

Idiocom may retain certain information where reasonably necessary for legal, security, accounting, fraud prevention, dispute resolution or legitimate business purposes, subject to our Privacy Policy and applicable law.

25. Confidentiality

Each party may receive confidential information belonging to the other party in connection with the use of the Service.

Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorised third parties except where disclosure is required by law or reasonably necessary to perform the applicable services.

Information that is publicly available, independently developed or lawfully obtained from another source will generally not be considered confidential.

26. Privacy

Your use of Idiocom is also subject to our Privacy Policy, which explains how we collect, use, store and protect personal information.

The Privacy Policy forms part of the overall framework governing your use of the Service.

27. Third-Party Services

Idiocom may provide integrations with third-party services, including payment gateways, analytics tools, marketing platforms, shipping services, communication tools, social platforms and other external services.

Your use of such third-party services may be subject to separate terms and privacy policies.

Idiocom is not responsible for the independent operation, availability, security, content, policies or practices of third-party services that are outside Idiocom’s control.

28. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an “as available” and “as is” basis.

Idiocom does not guarantee that:

  • The Service will always be uninterrupted;
  • The Service will always be completely error-free;
  • Every feature will be available at all times;
  • The Service will meet every individual business requirement;
  • AI-generated or other automated output will always be accurate or complete;
  • The Service will produce a particular business, sales, marketing or financial result; or
  • Third-party services or integrations will remain continuously available.

Nothing in these Terms excludes any warranty, representation or statutory right that cannot legally be excluded under applicable law.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Idiocom and its directors, officers, employees, affiliates, partners, licensors and service providers will not be liable for indirect, incidental, special, consequential or punitive losses arising from or relating to your use of or inability to use the Service.

This may include, where permitted by law, losses relating to:

  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Business interruption;
  • Loss or corruption of data; or
  • Other indirect or consequential losses.

To the maximum extent permitted by applicable law, Idiocom’s aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees actually paid by you to Idiocom for the affected Service during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.

30. Force Majeure

Idiocom will not be responsible for delay, interruption or failure to perform obligations caused by circumstances beyond our reasonable control, including natural disasters, acts of government, war, civil unrest, terrorism, labour disputes, internet or telecommunications failures, widespread cyber incidents, infrastructure failures, third-party service failures or other events beyond our reasonable control.

31. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Idiocom, its affiliates, officers, employees, agents and service providers from claims, losses, liabilities, damages and reasonable expenses arising from:

  • Your unlawful use of the Service;
  • Your violation of these Terms;
  • Your User Content;
  • Your products, services or merchant activities;
  • Your violation of third-party rights; or
  • Your violation of applicable laws or regulations.

32. Notices and Communications

We may communicate with you electronically regarding your account, subscription, security, billing, support requests, service updates and changes to these Terms.

You agree that electronic communications may satisfy legal communication requirements where permitted by applicable law.

33. Changes to These Terms

Idiocom may update or modify these Terms from time to time to reflect changes in our Service, business practices, technology, legal requirements or other circumstances.

When material changes are made, Idiocom may provide reasonable notice through the website, platform, email or another appropriate method where required by applicable law.

The updated Terms will display a revised “Last Updated” date.

Your continued use of the Service after the effective date of updated Terms may constitute acceptance of the revised Terms to the extent permitted by applicable law.

34. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in full force and effect.

35. No Waiver

Failure by Idiocom to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.

36. Entire Agreement

These Terms, together with the applicable Privacy Policy, subscription details and any additional terms expressly incorporated into the Service, constitute the agreement governing your use of Idiocom, subject to any separate written agreement between you and Idiocom.

37. Assignment

You may not transfer or assign your rights or obligations under these Terms without Idiocom’s prior written consent, except where such restriction is prohibited by applicable law.

Idiocom may transfer or assign these Terms as part of a merger, acquisition, corporate restructuring, sale of assets or similar business transaction, subject to applicable law.

38. Governing Law and Dispute Resolution

These Terms will be interpreted and applied in accordance with applicable law, subject to any mandatory consumer protection or other statutory rights that apply to you and cannot legally be excluded.

Before initiating formal proceedings, the parties are encouraged to attempt to resolve any dispute through good-faith communication with Idiocom Support.

Nothing in this section limits any mandatory right you may have to bring a claim before a court, regulator, consumer authority or other competent body under applicable law.

40. Subscription and Refund Summary

For clarity, the key subscription principles are:

  • Idiocom is a digital SaaS service and does not involve physical product shipping.
  • Users are encouraged to evaluate the Service through available information, demonstrations and free-trial opportunities before purchasing a paid subscription.
  • Once a paid subscription is activated, subscription fees are generally non-refundable.
  • Change of mind, non-use, dissatisfaction, business decisions or failure to use the Service generally do not qualify for a refund.
  • Technical complaints must be reported to Idiocom Support and may be investigated by our technical team.
  • A reported technical issue does not automatically qualify for a refund.
  • Where a material issue is verified as being directly attributable to Idiocom, our primary remedy will generally be to restore the affected Service and, where appropriate, provide a reasonable subscription extension or service credit.
  • Monetary refunds will not ordinarily be provided unless required by applicable law or expressly approved by Idiocom.
  • Nothing in these Terms is intended to exclude or restrict rights that cannot legally be excluded or restricted.
